The State Financial Holding authorised capital is to be increased by 3 billion KGS

The authorised capital of the State Financial Holding Company is set to be increased by 3 billion KGS — from 9 billion 556.2 million KGS to 12 billion 556.2 million KGS. The relevant decision was taken on 12 May by the company’s sole shareholder, the Ministry of Finance of Kyrgyzstan.

Consequently, once the procedure is complete, the State Financial Holding Company’s capital will increase by 31.4 per cent.

To carry out the capital increase, the company will issue its seventh tranche of ordinary registered shares. A total of 3 million shares will be issued, each with a nominal value of 1,000 KGS. The total issue amount will be 3 billion KGS.

The shares will be placed in a private placement via a personal offer to the Ministry of Finance. Payment will be made by bank transfer.

The placement will commence following the state registration of the resolution on the share issue and must be completed no later than one year from that date. Following the issue, the total number of shares in Gosfinholding will reach 12,556,161.

In connection with the increase in the authorised capital, the sole shareholder has also approved the new version of the articles of association and instructed that the company be re-registered with the state authorities.

The capital injection is in line with the state’s previously announced budgetary plans. According to the draft national budget, the Ministry of Finance intends to allocate 3 billion KGS annually to Gosfinholding during the period 2026–2028.
