The new owner of Teplichny canceled the decisions on reorganization and renaming

The open joint-stock company Teplichny has canceled key decisions made at the end of 2025, against the backdrop of the transfer of a controlling stake to the construction company Bereke Building LLC.

On February 6, at an extraordinary general meeting of shareholders, plans to reorganize the company, change its name, and increase its authorized capital were canceled. On most issues, 98.7% of voting shares voted in favor.

As a result, the following decisions were canceled:

  • to reorganize the company in the form of a spin-off (adopted on October 28, 2025);
  • to rename OJSC Teplichny to OJSC BRK Group;
  • to increase the authorized capital to 100 million KGS;
  • to re-register the company;
  • to recognize the previous charter as invalid;
  • to approve the new version of the charter.

In fact, the company abandoned the large-scale transformation initiated by the previous controlling shareholder.

A week later, on February 13, a change in the ownership structure was recorded. Bereke Building LLC increased its stake from 41.68% to 64.74% by purchasing 23.06% of shares from Amirtimur Makhatov.

The transaction took place on the secondary market of the Kyrgyz Stock Exchange and amounted to 354.98 million KGS.

Although formally the meeting took place before the disclosure of information about the transfer of the stake, the cancellation of previous decisions is obviously related to the consolidation of control and a change in the strategic direction of development. The new majority shareholder essentially returned the company to its original corporate structure, abandoning rebranding and reorganization.

After the transfer of control, the board of directors was also renewed. Kulchoro Jalgasynov was elected chairman, and Kamil Asanakunov and Dzhakshylyk Dzhishev were elected members.
