A Cypriot citizen sold a controlling stake in a Kyrgyz mining company

On 26 September, a transaction was concluded on the trading platform of CJSC Kyrgyzstan Stock Exchange – BTS for the sale of a controlling stake in the mining company Regional Investment Corporation.

The company was established in November 2022 and specialises in the extraction and enrichment of precious metal ores. The company was established with foreign capital participation and has a single shareholder. The Ministry of Justice document does not disclose the shareholder's identity. However, the BTS exchange reports that the seller of the shares was Pavel Dikarev, a citizen of the Republic of Cyprus. Apparently, he was the shareholder who owned the company prior to the transaction.

According to the exchange, he sold 12,550,563 shares at 0.24 KGS each. The share of securities involved in the transaction amounted to 92.62% of the company's authorised capital. At the same time, Dikarev still holds a 7.38% stake in the company.

As a result, he received 3 million 12.14 thousand KGS for his controlling stake in the company. At first glance, the amount seems symbolic, but an examination of the company's financial payments shows that it did not actually carry out any activities.

The buyer was Khan Teniri Capital LLC. It was established in February last year with 100% domestic capital. Its sole founder is Zainidin Tagayev, and its director is Stalbek Dzhumadilov. The company specialises in financial market transactions on behalf of other persons.
